1. Acceptance of Terms
By accessing or using the Cleariqa platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these Terms from time to time — continued use constitutes acceptance of any changes.
2. Description of Service
Cleariqa is an AI-powered financial reconciliation platform that helps small and medium-sized businesses automate the matching of Stripe payouts, bank deposits, and QuickBooks Online entries. The Service includes transaction matching, AI-generated discrepancy explanations, and reconciliation reporting.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access.
4. Connected Accounts
By connecting third-party accounts (Stripe, bank, QuickBooks Online), you authorize Cleariqa to access your transaction data via read-only OAuth for the purpose of performing reconciliation. You may revoke access at any time through your account settings or the third-party provider.
5. Payment and Billing
The Free plan includes up to 100 transactions per month at no cost. The Pro plan is billed monthly at the rate displayed at the time of subscription. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days notice.
6. Acceptable Use
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to our systems; interfere with the Service's operation; reverse engineer or decompile any part of the Service; or share your account credentials with unauthorized parties.
7. Intellectual Property
The Service, including its design, features, and AI models, is owned by Cleariqa and protected by intellectual property laws. You retain ownership of your financial data. We claim no ownership over the data you provide or the reconciliation results generated from your data.
8. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied. Cleariqa does not guarantee that reconciliation results are error-free. AI-generated explanations are informational and should not replace professional accounting judgment. You are responsible for reviewing and approving all matches.
9. Limitation of Liability
To the maximum extent permitted by law, Cleariqa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Termination
You may terminate your account at any time through your account settings. We may suspend or terminate your access if you violate these Terms. Upon termination, your data will be deleted in accordance with our Privacy Policy.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.
